These Terms of Service form a binding agreement between you and TalkiBar, Inc, a Delaware corporation ("TalkiBar", "we", "us"). They govern your use of the TalkiBar mobile application, our website, and the events we organize (together, the "Service"). Please read sections 6 and 18, which limit what we are responsible for, and section 21, which affects how disputes between us are resolved.
1.1 By creating an account, purchasing a ticket, or attending an event, you agree to these Terms. If you do not agree, do not use the Service.
1.2 We may change these Terms. If a change is material, we will give you notice in the app or by email before it takes effect. Changes do not apply to a ticket you have already purchased. Continuing to use the Service after a change takes effect means you accept the revised Terms.
2.1 You must be at least 21 years old to create an account, purchase a ticket, or attend a TalkiBar event.
2.2 You confirm that you are 21 or older and that the date of birth in your profile is accurate. Providing a false date of birth is a breach of these Terms and grounds for immediate termination without refund.
2.3 Events are held at venues that may be licensed to serve alcohol. Those venues apply their own age verification at the door, independently of us. If a venue refuses you entry, we are not obliged to refund your ticket, and you should take the matter up with the venue.
3.1 You must provide accurate information when you register and keep it current. Your profile is personal to you and you may not let anyone else use it.
3.2 You are responsible for activity on your account and for keeping your login credentials secure. Tell us promptly if you believe your account has been compromised.
3.3 You may hold one account. Creating a second account after a suspension or termination is a breach of these Terms.
3.4 You may sign in using a Facebook, Google, or Apple account. If you do, your use of that service is governed by its own terms, and we receive from it only the information needed to create and identify your account.
4.1 TalkiBar organizes board game meetups held at independent venues. We select the venue, arrange the date and time, sell tickets, group participants, assign each participant to a table and a game, and supply the games.
4.2 We do not own, operate, staff, or control the venues. Each venue is an independent business. It admits participants under its own policies, applies its own house rules, and sells all food and beverages, including any alcohol, directly to you under its own licenses. TalkiBar takes no part in and receives no share of those sales.
4.3 TalkiBar does not station a host, employee, or representative at events. Venue staff may direct you to your assigned table and may hand you a replacement game on request, but they have no authority to change your group, your table, or your game.
4.4 Other participants are not our employees, agents, or contractors. They are individual users of the Service, and we are not responsible for their conduct.
5.1 We assign participants to groups, tables, and games using the information in your profile and preferences. Grouping is generated by an automated system and reviewed by a person, who may adjust the result.
5.2 Some criteria are applied strictly, including the language of the meetup and the city. Others, including age and interests, are used only to inform grouping and are not guaranteed.
5.3 After a meetup you may tell us whether you would like to meet a particular participant again, have no preference, or would rather not. We store that answer, we do not disclose it to the other participant, and we use it when forming later groups.
5.4 We do not promise that you will be matched with any particular person, with people of any particular age or background, or that a group will suit you. Matching is a service we perform with reasonable care and is not a guarantee of compatibility or of enjoyment.
5.5 We may change group, table, or game assignments before an event, including to account for cancellations.
5.6 We do not conduct criminal background checks, identity verification, or any other screening of participants. We do not verify that any statement in a participant profile is true. You should exercise the same judgment you would in meeting anyone you do not know.
6.1 TalkiBar events involve meeting people you do not know, in person, at venues that may serve alcohol. You understand and accept the risks that come with that, including the conduct of other participants, the conduct of venue patrons who are not participants, the consumption of alcohol by yourself or others, and your travel to and from the venue.
6.2 You attend voluntarily and at your own risk. You are responsible for your own safety, for your own decisions about alcohol, and for arranging your way home.
6.3 If you feel unsafe at an event, leave, and contact the venue staff or emergency services as the situation requires. We are not present at events and cannot intervene in real time.
6.4 To the fullest extent permitted by law, you release TalkiBar from claims arising out of the conduct of other participants, the conduct of any venue or its staff or patrons, and the condition of any venue premises.
7.1 Ticket prices are shown in the app before you purchase and are stated in U.S. dollars. A ticket entitles you to one place at one event and is personal to you. Tickets may not be resold or transferred.
7.2 Prices include any applicable sales tax. The price shown is the price you pay.
7.3 Every person attending an event must hold their own account and their own ticket. You may not bring a guest who does not.
7.4 Payments are processed by our payment provider. We do not store your full card details. Your use of the payment provider is subject to its own terms.
7.5 The ticket price covers participation only. Food and drink are not included and are purchased directly from the venue at its prices.
7.6 You are responsible for any tab you open with the venue. TalkiBar has no role in and no responsibility for amounts you owe a venue.
8.1 You may cancel a booking through the app up to 48 hours before the event start time and receive a credit to your TalkiBar account for the amount paid.
8.2 Credits do not expire, may be applied to any future TalkiBar event, and have no cash value. Credits are not redeemable for money except where law requires otherwise.
8.3 If you cancel within 48 hours of the event, or do not attend, the ticket price is not refunded or credited.
8.4 If TalkiBar cancels an event, or changes its date, time, or venue in a way you do not accept, you receive a full refund to your original payment method, or a credit if you prefer.
8.5 We may issue a refund or credit at our discretion in circumstances not covered above. Doing so once does not oblige us to do so again.
9.1 You may invite others to join TalkiBar. If someone you invite is new to TalkiBar, has not previously received a free ticket credit, and purchases a ticket with payment rather than with a credit, you and that person each receive one free ticket credit.
9.2 Sharing an invitation does not by itself earn a credit. Each new person can qualify once. You may earn a further credit for each additional qualifying person you invite.
9.3 Referral credits are promotional, have no cash value, are not redeemable for money, and may not be sold or transferred. Section 8.2 otherwise applies to them.
9.4 We may withhold or cancel a referral credit, and suspend participation in the referral program, where we reasonably believe it has been obtained through duplicate accounts, false information, or any other abuse of these Terms.
9.5 We may change or end the referral program at any time. Credits already earned remain valid.
You agree that at events and on the Service you will not:
Venue staff may ask you to leave. If they do, you must leave, and no refund is due.
11.1 The Service lets you create a profile and send messages to other participants, including text, photographs, and voice notes. Content you provide remains yours. You grant us a non-exclusive, worldwide, royalty-free license to host, store, display, and transmit it for the purpose of operating the Service.
11.2 You are responsible for what you post and send. Do not post content that is unlawful, abusive, harassing, sexually explicit, deceptive, or that infringes anyone else's rights.
11.3 We do not routinely monitor messages between participants. We may review content that is reported to us and may remove content that breaches these Terms.
11.4 Do not post another person's personal information, and do not share what another participant tells you at an event without their agreement.
12.1 You can report a participant or content from the chat, from the meetup page, and wherever you can see who attended an event. You will be asked to give a reason. Reports are confidential, and the person reported is not told who reported them.
12.2 A report does not automatically block or suspend the person reported. Our staff review reports and decide what action to take, which may include a warning, removal of content, or suspension of the account. Where we act on your report, we will tell you that the matter was handled and, where applicable, that the account was suspended.
12.3 You can block another participant from the chat. Blocking removes that conversation and prevents that person from contacting you through the chat. Blocking is presently permanent and cannot be reversed from within the app, so please use it deliberately.
12.4 We aim to review reports promptly. Reports alleging threats, harassment, or safety concerns are prioritized.
12.5 If you believe you are in danger, contact emergency services rather than reporting through the app. We do not monitor reports in real time and cannot respond to an emergency in progress.
13.1 We may suspend or terminate your account, and refuse you entry to future events, if you breach these Terms, if we receive a credible report of conduct that puts other participants at risk, or if we are required to by law.
13.2 Where circumstances allow, we will tell you the reason and give you a chance to respond. Where the report concerns safety, we may act first and explain afterward.
13.3 A suspended account cannot send messages, book meetups, or make purchases.
13.4 If we terminate your account for breach, unused credits and any ticket for an event you can no longer attend are forfeited. If we terminate for any other reason, we refund unused tickets and pay out or credit the balance.
13.5 You may stop using the Service at any time and may delete your account in the app. Deleting your account does not entitle you to a refund of a ticket already purchased, subject to section 8.
14.1 The Service, including the TalkiBar name, logo, app, and website, belongs to us or our licensors. These Terms give you a personal, limited, non-transferable license to use the app for its intended purpose, and nothing more.
14.2 The board games supplied at events remain our property. Please treat them accordingly and leave them at the table.
15.1 The app is distributed through the Apple App Store and Google Play, and their terms apply to your download and use of it alongside these Terms. Apple and Google are not parties to this agreement and have no responsibility for the Service or for events.
15.2 The Service relies on third party providers for payment, hosting, communications, and the automated part of our matching. We are not responsible for their acts or omissions beyond selecting them with reasonable care. Our Privacy Policy identifies them.
16.1 Our Privacy Policy explains what personal information we collect and what we do with it, and forms part of these Terms.
16.2 Before each event we give the venue the first names of participants, their assigned table numbers, and the assigned game. We do not give venues your surname, photograph, age, nationality, or any other profile information.
17.1 The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
17.2 We do not warrant that the Service will be uninterrupted or error free, that any event will take place as scheduled, or that any group will be a good fit for you.
17.3 Nothing in these Terms excludes liability that cannot lawfully be excluded.
18.1 To the fullest extent permitted by law, TalkiBar is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill, however caused.
18.2 To the fullest extent permitted by law, our total liability to you for all claims arising out of or relating to the Service or any event is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred dollars.
18.3 These limits apply regardless of the theory of liability and even if a limited remedy fails of its essential purpose.
19.1 You agree to indemnify and hold harmless TalkiBar and its officers, directors, and employees against claims, damages, and reasonable costs arising out of your breach of these Terms, your conduct at an event, or your violation of any law or of anyone else's rights.
20.1 These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles.
21.1 If you have a problem, contact us first at [email protected]. Most issues are resolved this way, and we ask that you give us 30 days to do so before starting any formal proceeding.
21.2 Any dispute that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Travis County, Texas, or conducted remotely at your election.
21.3 You and TalkiBar each waive the right to a jury trial. You and TalkiBar each also waive the right to bring or participate in a class, collective, consolidated, or representative action. This waiver applies in arbitration and in any court, and it stands on its own: if section 21.2 is held unenforceable or is waived, this section 21.3 continues to apply.
21.4 Either of us may bring an individual claim in small claims court instead.
21.5 If any part of this section other than section 21.3 is held unenforceable, that part is severed and the remainder continues to apply. Disputes not subject to arbitration are heard in the state or federal courts sitting in Travis County, Texas.
22.1 If any provision of these Terms is held unenforceable, the rest remain in force.
22.2 Our failure to enforce a provision is not a waiver of it.
22.3 You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
22.4 These Terms, together with the Privacy Policy, are the entire agreement between you and TalkiBar regarding the Service.
